Clear terms for working together.

The rules that apply when your business uses 50lution Commerce Assistant and its Shopware integrations.

1. Provider and acceptance

These Terms of Service (“Terms”) are an agreement between 50LUTION COMPANY LIMITED, 28 Thanh Luong 20, Da Nang, Viet Nam, tax identification number 0402210945 (“50lution”, “we”, “us”), and the person or organisation using 50lution Commerce Assistant (“Customer”, “you”).

By creating an account, starting a trial, purchasing a subscription or using the service, you agree to these Terms and our Privacy Policy. If you use the service for an organisation, you confirm that you have authority to bind it. The service is intended for business and professional use. You must be at least 18 years old and legally able to enter this agreement.

2. The service

50lution Commerce Assistant connects authorised AI workspaces with supported e-commerce systems, currently including Shopware, so users can inspect or operate store functions through conversational tools. Available tools depend on the selected plan, connected store, plugin version, reported capabilities and third-party services.

The service assists with operations; it does not replace your judgement. You remain responsible for reviewing inputs, tool previews, confirmations and results, especially before changing products, prices, stock, customers, orders, promotions or other store data. Features described as preview, beta, coming soon or development functionality may be changed, limited or withdrawn and are not guaranteed to become generally available.

3. Accounts and authorised connections

  • Provide accurate account and billing information and keep it current.
  • Protect login credentials, pairing codes, connected AI workspaces and devices; do not share them with unauthorised persons.
  • Connect only stores and sales channels you own or are authorised to administer, and grant access only to authorised users.
  • Notify us promptly at [email protected] if you suspect unauthorised access or misuse.
  • You are responsible for activity performed through your account, except to the extent caused by our breach of these Terms or applicable law.

4. Trials, plans and payment

Plans are sold per Shopware installation unless the offer or checkout states otherwise. Current features, limits, billing period and price are shown on our website and at checkout. Prices may exclude VAT, GST, sales tax or similar charges; Paddle calculates and collects applicable taxes from the buyer.

A trial is limited to one per eligible installation unless we state otherwise. A cardless trial does not become a paid subscription automatically. If a trial checkout asks for a payment method, the checkout will show whether and when it converts to a paid subscription. You may cancel before the displayed conversion date to avoid the first charge.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle processes payments, invoices, taxes, subscription administration and payment-related buyer support under its own Buyer Terms. Complete payment-card details are not stored by 50lution.

5. Renewal, plan changes and cancellation

Paid subscriptions renew automatically for the billing period and at the price presented at checkout, unless cancelled before the renewal date. Paddle will show the next billing date in its customer portal. We will give notice of price changes as required by applicable law; a new price applies no earlier than the next renewal after the stated notice.

You may manage or cancel a Paddle subscription from Plan & billing in your 50lution account. Cancellation normally takes effect at the end of the current paid period, and access continues until then. Disconnecting or uninstalling a Shopware integration does not cancel its subscription. Refund requests are governed by our Refund Policy.

6. Customer data and instructions

As between you and 50lution, you retain your rights in data from your store, account and instructions (“Customer Data”). You grant us a limited right to process Customer Data only as needed to provide, secure, support and improve the service, comply with law and enforce these Terms. Our handling of personal data is described in the Privacy Policy.

You are responsible for having all permissions and lawful bases needed to connect the store and send Customer Data to 50lution and your chosen AI provider. Do not include payment-card data, passwords, special-category personal data or other unnecessary sensitive information in prompts or support messages. If required for your organisation, contact us about a data processing agreement before using the service with personal data.

7. Acceptable use

You must not, and must not enable others to:

  • Use the service unlawfully, deceptively, to violate third-party rights, or to access a store or data without authorisation.
  • Circumvent plan limits, access controls, confirmations, rate limits or security measures.
  • Probe, scan or test vulnerabilities without our prior written permission, or introduce malware or harmful code.
  • Reverse engineer, copy, resell, sublicense or make the service available as a competing product, except where mandatory law expressly permits the activity.
  • Use automated traffic that materially disrupts the service or creates unreasonable infrastructure load.
  • Use tool outputs as the sole basis for legal, financial, employment or similarly high-impact decisions about a person.

8. Third-party services

Shopware, Paddle and any AI workspace or model provider are independent services governed by their own terms, availability and data practices. You are responsible for the accounts, licences and configuration needed to use them. We are not responsible for a third party’s service, content or independent handling of data, but this does not limit our responsibility for integrations we operate or obligations that cannot legally be excluded.

Changes made by a third party, including an API, plugin, model, policy or platform change, may affect functionality. We may adapt, suspend or discontinue an affected integration when reasonably necessary.

9. Our intellectual property

50lution and its licensors retain all rights in the service, software, design, documentation, trademarks and improvements, excluding Customer Data and third-party materials. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business operations during the trial or subscription term.

If you give feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.

10. Availability, support and changes

We aim to operate the service reliably but do not promise uninterrupted or error-free availability. Maintenance, incidents, third-party outages, internet conditions and store configuration may cause interruptions. Unless a separate written service-level agreement applies, support is provided on a reasonable-efforts basis through [email protected].

We may update the service and these Terms to reflect product, security, legal or operational changes. We will give reasonable advance notice of material changes when practicable. If a material change adversely affects an active paid subscription, you may cancel before it takes effect. Continuing to use the service after the effective date means you accept the updated Terms.

11. Suspension and termination

You may stop using the service at any time and may cancel subscriptions as described above. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or if required by law or a provider essential to the service. Where reasonable, we will notify you and allow an opportunity to remedy the issue.

On termination, your right to use the service ends. Provisions which by their nature should survive—including payment obligations, intellectual property, disclaimers, liability limits and dispute terms—remain effective. We may retain or delete data as described in the Privacy Policy and applicable law.

12. Warranties and liability

To the extent permitted by law, the service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. You are responsible for verifying tool results and maintaining appropriate backups, permissions and recovery procedures for your store.

To the extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, revenue, goodwill or data. 50lution’s total aggregate liability arising from the service or these Terms will not exceed the fees paid or payable for the affected service during the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory data-protection and consumer rights. The limitations apply only to the maximum extent permitted in your jurisdiction.

13. Governing law and disputes

These Terms are governed by the laws of Viet Nam, without regard to conflict-of-law rules. The courts competent for Da Nang, Viet Nam have exclusive jurisdiction, except where mandatory law gives you the right to bring a claim elsewhere. Before filing a claim, the parties will make a good-faith effort for 30 days to resolve the dispute after written notice.

These Terms, the referenced policies and any order terms shown at checkout form the agreement for the service. If one provision is unenforceable, the remainder remains effective. A failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it as part of a merger, reorganisation or transfer of the relevant business, with notice where required.
